TERMS OF USE

1. Definition of Terms

1.1 Administrator – Refers to Sellables Online Marketplace Nigeria Limited and its affiliates, collectively called “we,” “us,” or “our.”

1.2 Service / Platform – Refers to the Sellables website, mobile applications, and any services, content, or data accessible through them.

1.3 User – Any person or entity accessing or using the Service.

1.4 Account – A registered user profile on the Platform.

1.5 User Content – Any data, text, images, videos, or other materials submitted by users on the Platform.

1.6 Third-Party Ads – Links, advertisements, or content from entities not controlled by the Administrator.

2. Acceptance of the Terms

These Terms of Use (the “Terms”) constitute a binding and enforceable legal contract between Sellables Online Marketplace Nigeria Limited, its affiliated companies (together, the “Administrator”, “we”, “us”) and you. Please read these Terms carefully.

2.1 Your access and use of the Sellables website and mobile applications, as well as any service, content, and data available via them (together, the “Service” or the “Platform”) are governed by these Terms.

2.2 If you do not agree with any part of these Terms, or if you are not eligible or authorized to be bound by the Terms, then do not access or use the Service.

2.3 Please also review our Privacy Policy. The terms of the Privacy Policy and other supplemental terms, rules, policies, or documents that may be posted on the Platform from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason with or without prior notice.

3. Important Disclaimers

3.1 All services provided by the Administrator are offered “as is” and “as available.” The Administrator disclaims any warranties, whether express or implied, including guarantees regarding quality, durability, performance, accuracy, reliability, or suitability for a particular purpose.

3.2 The Administrator has no control over and cannot guarantee the legality, safety, quality, or accuracy of goods and services listed by users. We are not liable for whether users complete transactions or if any transaction violates third-party rights.

3.3 Users are encouraged to inspect goods before purchase and request any documentation necessary to verify compliance with applicable laws or regulations.

3.4 You acknowledge that you are solely responsible for your personal safety and should meet other users only in safe public locations during daylight hours. The Administrator is not responsible for any interactions between users or with third parties.

4. Account Registration

4.1 To use certain features, you may need to register an Account and provide information as requested in the registration form.

4.2 Accounts can be created by individuals or authorized representatives of companies.

4.3 Each user may register only one Account, unless otherwise permitted for specific services. Duplicate accounts may require proof of identity.

4.4 Users are fully responsible for maintaining account confidentiality and for any activity under their account credentials.

4.5 Minors (generally under 18) must have parental or guardian consent to use the Service.

4.6 The Administrator may suspend, terminate, or restrict accounts for violations of Terms, suspicious activity, or misuse of the Service.

4.7 Users must immediately notify the Administrator of unauthorized access or other security breaches.

5. Service

5.1 The Platform allows users to create, view, and communicate about announcements of goods and services.

5.2 The Administrator does not sell, import, manufacture, or distribute goods or services listed by users. All transactions occur directly between users.

5.3 Users are responsible for collecting and remitting any applicable taxes from their transactions.

5.4 The Administrator may remove or block announcements in cases of legal claims, rights infringements, or violations of Terms.

5.5 Users are solely responsible for their User Content, and interactions between users are solely between them.

5.6 The Service may contain links to third-party websites or advertisements. The Administrator is not responsible for third-party content, and any dealings with third parties are at the user’s own risk.

6. Posting of Announcements by Users

6.1 Users may be required to provide documents verifying their identity or the legitimacy of announcements.

6.2 Announcements must contain accurate and complete information, including valid contact details.

6.3 Prices must be exact unless otherwise specified in the announcement.

6.4 Any media uploaded from third-party platforms (e.g., YouTube, Facebook, Meta) must comply with those platforms’ Terms of Service.

7. Fees

7.1 While the Platform is generally free, some services may require payment.

7.2 Users may register multiple accounts if using paid services.

7.3 Fees and payment methods are disclosed on the Platform and may change at the Administrator’s discretion.

7.4 Payments are generally non-refundable unless required by law.

7.5 Billing and payment are governed by the Billing Policy.

8. Prohibited Items

8.1 Users must not post announcements offering:

1. Illegal or unauthorized goods or services.
2. Pornographic or overtly sexual materials.
3. Violence, hate speech, or promotion of illegal activities.
4. Counterfeit or pirated products.
5. Prohibited services under applicable law.

8.2 Users must not post misleading, false, or harmful information.

9. User Representations and Warranties

By using the Service, you represent and warrant that you:

1. Are legally authorized and capable to use the Service.
2. Will provide accurate and complete information.
3. Will comply with applicable laws, rules, and regulations.
4. Will not infringe the rights of others.
5. Have legal title or authorization for items offered in announcements.

10. Indemnity

You agree to defend, indemnify, and hold harmless the Administrator, its affiliates, and representatives from any claims, damages, or expenses arising from your use of the Platform, User Content, or violations of these Terms.

11. Limitation of Liability

11.1 The Administrator is not liable for any indirect, incidental, or consequential damages arising from use or inability to use the Service.

11.2 Maximum aggregate liability is limited to the lesser of any fees paid in the last six months or NGN37,000.

12. Intellectual Property Rights

12.1 Users retain ownership of their User Content.

12.2 Users grant the Administrator a non-exclusive, worldwide license to use User Content for operation and promotion of the Service.

12.3 All Platform materials, marks, and logos not created by users remain the property of the Administrator.

12.4 Intellectual property infringement claims must be sent to support@sellables.com.ng with full documentation.

13. Governing Law & Jurisdiction

13.1 These Terms are governed by the laws of the Republic of Nigeria.

13.2 Disputes shall be resolved by arbitration under the Arbitration and Conciliation Act, with the seat of arbitration in Lagos, Nigeria, in English.

14. Miscellaneous Provisions

14.1 Invalid provisions do not affect the remainder of these Terms.

14.2 The Administrator may transfer rights and obligations under these Terms.

14.3 Failure to enforce any provision does not waive future rights.

14.4 The Administrator is not liable for failures beyond its reasonable control.

15. Contest Rules

Applicable withholding tax may apply to awards in contests. Users are responsible for any applicable taxes beyond what is withheld by the Company.
